- Business formation. If you are planning to start a new business, we can help you evaluate the different business forms, including sole proprietorships, partnerships, limited partnerships, limited liability companies (LLCs) and corporations. We will prepare and file all required organizational documents, such as articles of incorporation or organization, by-laws and tax registrations.
- General business law counsel. Once your business is established, we will counsel you on all issues that arise during day-to-day operations, from the maintenance of company or corporate records to the sale or purchase of assets, from employee benefits issues to employment matters.
We can also help you put together a business plan or handle all legal matters related to business financing. - Creation and operation of non-profit entities. We will help you set up a non-profit entity and seek IRS qualification as a 501(c)(3) or 501(c)(6) or similar organization.
- Business and commercial contracts. We will negotiate, review and prepare the agreements you need to run your business, from employment contracts to shareholder or partnership agreements, from vendor/distributor/customer contracts to lease or buy/sell agreements.
